Abstract
Looks at the Companies Bill 2006 cl.173, the new statutory formulation on the duty of directors to act in the way they consider, in good faith, would be most likely to promote the company's success for the benefit of its members as a whole, and the need for directors to consider the principle of "enlightened shareholder value". Considers whether the Bill improves the protection of stakeholders and explores directors' environmental and social requirements in light of the Bill, including the adequacy of the market's role.
